Governing Law, Severability, Dispute Resolution, and Venue

These terms shall be governed and construed in accordance with the laws of the state of California, United States, without regard to its conflict of laws provisions. These terms shall not be governed by the United Nations Convention on Contracts for the Sale of International Goods, the Uniform Commercial Code, or Incoterms.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
